Bang Holdings Corp. Sees 2018 as Breakthrough Year for Company in Letter to Shareholders

Denver, CO – January 3, 2018 – – Bang Holdings Corp. (OTCQB: BXNG), through its wholly owned subsidiary, Bang Digital Media – a brand manager, digital content provider, and influencer-based marketer to the cannabis industry, today announced that it has issued the following Special Letter to Shareholders from its Chief Executive Officer, Steve Berke. This letter outlines the initiatives that are underway to drive success and build long-term shareholder value.

Dear Fellow Shareholder:

The year 2017 was the most exciting year for the cannabis industry. Bang Holdings Corp. (OTCQB: BXNG) (the “Company”) delivered on several key strategic initiatives, including a year of investments, research and development of our social media ad-platform, and innovation of new cannabis technologies which laid the foundation for 2018, which we believe will represent a breakthrough year for the Company.

In 2017, we experienced significant growth across our digital channels, innovated new and exciting ad-technology, and added several clients as we completed the beta-testing of our proprietary and unique ad-tech platform. The industry’s acceptance of our proprietary digital technology resulted in the generation of our initial revenues as well as accelerating demand for our products and services, which, along with the new technology we are currently developing, believe will be on every cannabis enthusiasts wish list in 2018 and beyond.

Also in 2017, the Company successfully launched and relocated Bang Digital Media, one of our integral wholly-owned subsidiaries, to Colorado, which we believe is the center of the “cannaverse”. This relocation enabled us to court new clients in the cannabis space, including the nationally recognized and award-winning edibles company, Bhang Chocolates, and the global media darling, the International Church of Cannabis.

We also experienced incredible growth for our online brands, exceeding our internal goal of expanding our subscription base by over 100%, from 1.25 million to more than 2.52 million cannabis consumers, further enabling our clients to reach millions of potential customers with direct, targeted advertising. We believe our investments into growing a cannabis enthusiast audience is going to prove instrumental in being able to groom the first national cannabis brands. We now have over 2 million American cannabis consumers that engage with our content on a weekly basis.

2018: Expected to be a Breakthrough Year for Bang Holdings

We believe the following milestones for 2018, if achieved, will allow us to consistently grow our market share of the cannabis digital space, thus solidifying our position as one of the most innovative ad-tech companies in the cannabis industry, which should ultimately increase shareholder value:

Milestone #1 – Expansion of Our Video Production

The Company’s video productions now reach more than two and a half million cannabis consumers across our platforms, with content virality adding upwards of more than tens of millions. For example, we are currently collaborating with the team at the International Church of Cannabis to develop a slate of entertainment programming. Bang Holding’s Chief Operations Officer, Adam Mutchler, is spearheading the project given his experience in the field, including most recently the sale of his last feature film to Paramount Pictures. We believe Adam will be instrumental in the growth and expansion of our video production initiatives. We look forward to announcing the names of the productions and our Hollywood production partnerships during the first half of 2018, which will enable us to finalize our sponsorship and product placement contracts based on our proprietary and unique slate of programming. Although technology has evolved with the quality, size and brand of various media players, we believe the key to success has remained unchanged: “content is king”. Therefore, we believe our focus on content will prove to be one of our greatest differentiating factors from our competitors in the cannabis digital space.

Milestone #2 – Geographic Expansion

Canada is outpacing the United States in the development of the cannabis industry and we believe that it will rather quickly grow into the second largest market for legal cannabis. This represents yet another new opportunity for us as we prepare to expand into Canada and create our social media brands tailored specifically towards the Canadian markets. Our plan is to expand into the Canadian markets as early as the first quarter of 2018.

Milestone #3 – Development and Launch of New Cannabis Technology

We believe most of the world’s cannabis consumers do not have a safe and trusted resource for the thousands of different strains of cannabis that exist. Bang Digital Media’s developers are building upon their proven success with artificial intelligence (A.I.) marketing by creating a ‘must-have’ tool for purchasers and consumers of cannabis worldwide. We are currently beta-testing this new technology and expect our first product launch this year. We believe this technology could revolutionize the entire cannabis industry and significantly contribute to our revenue growth based on a licensing strategy as well as advertising income.

I am extremely excited about the future at Bang Holdings Corp., beginning with our expectation to achieve the three initial milestones just mentioned.
